These Terms and Conditions (“Agreement”) govern all services offered by Rouell Rodrigues via the website rouell.com (“Website”, “I”, “me”, “my”) to any individual, business, or entity (“Client”, “you”, “your”) engaging in such services. By requesting, engaging, or making payment for any service, you acknowledge and accept all the terms and conditions outlined below in full.

1. Nature of Services

I offer digital, marketing, IT, and related consultancy services as listed on the Website. While I strive to deliver services with due skill, care, and expertise, no guarantee, assurance, or warranty — express or implied — is provided regarding the results, performance, business success, or impact of any service rendered.

2. Payment Terms

Upon acceptance of any service proposal or project, the Client shall pay 50% of the total quoted cost as a non-refundable advance.
If the service requires additional expenses such as domain registration, hosting charges, third-party subscriptions, licensing fees, or other costs, the Client agrees to pay the greater of:
- (a) 50% of the total project cost, or
- (b) the total of such direct expenses
— in advance, before the service begins.
The remaining 50% of the service fee shall be paid immediately upon delivery of the agreed service or product.
If the balance payment is not completed within 90 days from the delivery date:
- Legal proceedings may be initiated under applicable Indian laws
- Access to delivered service(s) may be revoked
- A late fee of ₹500 per day may be charged from Day 91 until full payment is received
- I may reclaim ownership or rights to any digital product or output delivered

3. Refund Policy

All payments made, whether partial or full, are non-refundable under any circumstances, including but not limited to dissatisfaction with results, change of mind, business pivots, or unutilized service periods.

4. Client Responsibilities

The Client shall provide accurate, timely, and complete information as may be required for service execution.
Delays in approvals, content, or feedback shall not be grounds for refund or cancellation.
The Client is responsible for legal compliance of all business- or content-related material used in the service.

5. Limitation of Liability

I shall not be liable for any indirect, incidental, or consequential damages, including lost profits, data loss, or business disruption. My total liability under this Agreement shall not exceed the amount actually paid for the specific service in question.

6. Ownership & Rights

All deliverables remain my intellectual property until full payment is made. Upon final settlement, ownership and usage rights are transferred to the Client, unless otherwise specified in writing.

7. Governing Law and Jurisdiction

This Agreement is governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

8. Acceptance

By engaging in any service, making payment, or initiating contact through this Website, you confirm that you have read, understood, and agreed to these Terms and Conditions in full.
